TENSLEEP WIRELESS CORPORATION

Tensleep Wireless Corporation, a majority owned subsidiary of Tensleep Corporation, is a development stage company and is being organized as an integrated electronic products holding company. Wireless’s business plan includes:

*	Acquiring international and domestic distribution and sales companies for distributing its products and the products of affiliated international and domestic emerging growth companies;
*	Acquiring manufacturing facilities in China;
*	Acquiring interests in international and domestic emerging growth companies;
*	Establishing a broad base product line;
*	Using available technology to develop and manufacture niche single function or specific application devices;
*	Making its distribution system available to development stage companies that have developed new products;
*	Arranging financing for product acquisition, inventory, and factoring or accounts receivable financing.

Tensleep Corporation has developed several products (the CyberModuleTM and EnergyMatrixTM) which it has licensed to Tensleep Wireless. The products include the following:

CyberModule™

Tensleep’s is a universal communication device or Internet gateway (“CyberModule™”). The CyberModule™ is a modular unit providing an addressable web-site for an attached appliance or collection of appliances. The CyberModule™ allows the appliance(s) to be monitored and controlled remotely using standard Internet and web-site protocols. The web-enabled device takes data received (or solicited) from the attached appliance(s) and makes this data available to remote browsers that have approved access capability. It also accepts commands from the remote browser, reformats the commands and presents them to the appliance. Pre-determined attributes of the device, covering web content and format, may be changed securely anywhere over the Internet. The CyberModule™ offers connection to the Internet via a number of interfaces and offers multiple connections to the appliance(s) via a variety of interfaces.

The CyberModule™, as a universal device, was further developed into a specific application product called the EnergyMatrix™.

EnergyMatrix™

The EnergyMatrix™ Data Server (EMDS) is a meter data communications device that provides Web Services to utility or customer owned energy meters. The EMDS aggregates energy usage and demand across multiple facilities to reduce overall utility costs. The EnergyMatrix™ system characterizes energy use at each facility and provides instantaneous real-time view of energy demand for controlling energy usage.

HVAC Power Drive

The HVAC Power Drive is a frequency motor driver that provides a continuously variable drive capability to Air Conditioner or Heat Pump compressors and blowers. This results in improved energy efficiency, cost savings in the system, and improved comfort level for people in the climate-controlled area, due to lower blower noise and air movement.

The system allows climate control in a “continuous” or “real time”mode. The control input is the normal room or building thermostat. The system consists of the combination of a motor drive, heating/cooling equipment (heat pump, or furnace and air conditioner), and thermostat. These components form a closed loop system with operates continuously (no start and stop) at the rate or speed necessary to keep the temperature in the room or building constant within the user set comfort bank of the thermostat. This reduces the on time noise of the blower and compressor motors, and the speed of the air movement in the climate controlled area. The Company believes this type of system will provide energy savings in the range of 25 to 35% over existing on-off HVAC units.

The system accepts three-phase power, and provides a three-phase control drive waveform used to power both the compressor and blower motors together. The system is driven by control software in a miro-controller that provides constant torque drive to the motors in response to the closed loop thermostat temperature information.

The system has been developed, but testing has not been completed and it will have to undergo product commercialization, which the Company has no plans to do at the current time.

StepSaver

The StepSaver remote control system consists of a simple transmitter/receiver pair that allows the user to control an appliance from a remote location. The units operate in the license-free industrial, scientific and medical frequency bank (ISM) with a line-of-site range up to 450 meters, and are Federal Trade Commission (FCC) and Industrie Canada certified and consumer electronics marked.

The transmitter is a small, had-held module and is powered by two (2) AA batteries, and a 36" lanyard is provided for hands-free carrying. The receiver is a wall-mounted module and is powered by an external 12v DC wall mounted power supply (provided). To reduce interference and increase security, each StepSaver pair is assigned one of 16 possible ID codes via an internal single in-line package (SIP) switch. The identification codes are sent with the message from the transmitter and only a message with the identification code can be decoded by the receiver. The 16 codes can be selected from a total of 1 million possible codes by factory setting.

The StepSaver can be used with the HVAC Power Drive, the Energy Minder and other applications such as game feeders, stock feeders, shooting range targets, clay pigeon trap releases, and irrigation pumps. Tests have been completed and the StepSaver has been commercialized as a game feeder, and initial sales are being made.

Energy Minder

The EnergyMinder is an industrial thermostat that allows the user (and/or the power utility) to exercise local or remote control of their energy-using appliances. These appliances could be room air conditioners, pool pumps & heaters, irrigation pumps, water heaters, furnaces, stock feeders, etc. The first unit, the Em-301, is targeted at the room air-conditioner market.

The EM-301 is inserted between the appliance and the 120v (or 220v) outlet in normal usage. The EM-f301 controls the appliance by controlling the application of AC power to the appliance. The appliance can be turned on or off and the temperature settings changed locally via two buttons on the front of the unit. Remote radio control of the unit is provided using the nationwide pager network or via the StepSaver radio transmitter.

The EM-301 is a small, wall-mounted, plastic enclosure approximately 2" x 2.5" x 4". It plugs directly into the wall socket previously occupied by the appliance plug, and the appliance plugs into the socket on the front of the unit. An LCD display panel on the front indicates both the ambient temperature of the room and the desired room temperature.

Financial, a development stage company, is a financial services company. It is to carry on the old business of Tensleep Corporation. Tensleep and Financial, because of common shareholders and directors are affiliates. Financial is to build value through the development of publicly traded companies. Its goal is to increase value by a combination of increased value of interests in subsidiary and affiliate companies and the partial distribution of securities in those companies to its shareholders. Its objective is to provide suitable investors, its shareholders, with an opportunity to make liquid venture capital investments in undervalued companies before they become registered and fully reporting public companies. Financial builds long term value by supporting the business, corporation and financial development of subsidiary and affiliated companies by providing financial, operational and management services.

A T Realty, Inc., is a development stage company, a majority owned subsidiary of Tensleep Corporation, investing in land development projects and engaging in real estate projects. A T Realty currently has an investment in the Meadows at Quail Run, a Texas limited partnership, which is a land development project in Texas, located near San Antonio.

A T Funding Corporation is development stage company, an affiliate of Tensleep Corporation and subsidiary of Tensleep Financial Corporation, providing specialty financial services.
