Tensleep Corporation

Tensleep Corporation (the "Company") was founded in October 1997, in the State of Colorado, under the name Tensleep Design, Inc., as a development stage fab-less semiconductor company. In April 1999, the Company changed its name to Tensleep Technologies, Inc., again in November 1999, it changed its name to Tensleep.com, Inc., and in August 2000 changed its name to “Tensleep Corporation”.

The Company, in December 1997, acquired a non-exclusive license to market and distribute digital signal processor integrated circuit designs, and in January 1998 acquired ownership of the licensed technology. In November 1998 the Company qualified a public offering under Regulation A of the Securities Act of 1933, as amended. On or about August 2, 1999, the Company became effective as a fully reporting company under the Securities Exchange Act of 1934, and its common stock commenced trading on the Bulletin Board. In December 2001 the Company voluntarily terminated its duty to file reports under the Securities Exchange Act of 1934, as amended.

The Company in May 1999 formed a wholly owned subsidiary, Tensleep Design, Inc. ("Design"), whose name was changed to "Tensleep Technologies, Inc" ("Technologies") in May 2000, and commenced the development of its first Internet based product, a special purpose modular computer or server ("CyberServer"). The second development was a communications device ("CyberCommunicator").

The Company has paid four stock dividends. The first was a 10% dividend paid in its own common stock in March 2000; the second was a 10% dividend paid in the common stock of Technologies in August 2002; the third was a 10% dividend paid in the common stock of Tensleep Wireless Corporation in April 2006; and the fourth was a 50% dividend paid in the common stock of Tensleep Financial Corporation in June 2006.

The Company, in or about December 1999, acquired a 35% ownership in Silicon Resources, a private company, providing integrated circuit design consulting services and sold it in March 2001.

The Company in January 2000 acquired an interest in Amcor Financial Corp. ("Amcor"), a specialty finance company providing merchant banking services in the form of real estate financing and financing of emerging growth companies. Amcor Financial filed for bankruptcy in January 2005.

The Company, on March 31, 2000, acquired 100% of Master Financial Group, Inc., a private company which was an Internet financial services company; and in March 2001, the Company discontinued the operations of Master Financial and in September 2001 wrote off its total investment in Master Financial.

The Company in December 2000 acquired a majority interest in Whisk.co.uk, Limited, which was located in London, United Kingdom and subsequently rescinded the transaction.

The Company in April 2000 formed the Appliance Technology Group, which consisted of Technologies, Tensleep Appliances, Inc. ("Appliance"), incorporated in April 2000, and Silicon Resources. Appliance’s name was changed in March 2001 to "Appliance Partners, Inc" and approximately one year later it ceased doing business and was dissolved.

In March 2005 the Company entered an agreement with Yeahronimo Media Ventures, Inc., for the acquisition of Technologies, whose name was subsequently changed to Commodore International Corporation. The Company during 2006 sold all the Commodore shares it owned.
